TERMS AND CONDITIONS:
1. The undersigned individual and firm agree(s) to pay all invoices when due at the address listed above. The due date for all invoices shall be determined by the normal billing practices of Penn Pride, Inc. (hereinafter "Penn Pride"). All invoices, including invoices for finance charges, which are over thirty days past due shall be subject to a finance charge of two percent (2 %) per month.
2. The credit limit may be increased or decreased at the discretion of Penn Pride without written notice.
3. In consideration of Penn Pride extending credit, the undersigned individual(s) ("Surety") do/does jointly and severally, personally guarantee, as surety, unconditionally, at all times, the payment of the full amount of the indebtedness or balance of indebtedness (including unauthorized purchases) due in accordance with Penn Pride?s terms of sale and the terms of the Credit Application.
4. On or after a default in payments when due, the undersigned Applicant and Surety hereby jointly and severally authorize and empower the prothonotary, clerk of court, or any attorney of any court of record to appear for and confess judgment against the undersigned in favor of Penn Pride for the total sum due, as of any term, at any time or any number of times, with or without defalcation, with interest and costs of suit, and attorney collection fees equal to fifty percent (50%) of the total sum due. Stay of execution, inquisition, and extension upon any levy on real estate is hereby waived and condemnation agreed to. The exemption of personal property from levy and sale on any execution thereon is also hereby expressly waived and no benefit of exemption be claimed under and by virtue of any exemption law now enforced or which may be hereafter passed. Failure of Penn Pride to exercise this right at any particular time does not constitute a waiver of the right. The undersigned Applicant understands that this Credit Application contains a Confession of Judgment provision that would permit Penn Pride to enter judgment against it in court, after a default, without advance notice to it and without offering it an opportunity to defend against the entry of judgment. In executing the Credit Application, being fully aware of its rights to advance notice and to a hearing to contest the validity of any judgment or other claims that Penn Pride may assert against it under the Credit Application, the undersigned Applicant is knowingly, intelligently and voluntarily waiving these rights, including any right to advance notice of the entry of judgment, and the undersigned Applicant expressly agrees and consents to Penn Pride's entering judgment against it by confession as provided for in the Confession of Judgment provision
